These Terms of Service (the “Terms”) form a legally binding agreement between [COMPANY LEGAL NAME] Kft. (“Sealium”, “we”, “us”) and the natural or legal person who registers for or uses the Service (“you”, the “Customer”). By creating an account, generating an API key, or otherwise using the Service, you confirm that you have read, understood and accepted these Terms.
1.Definitions
- Service — the Sealium document validation API, developer console, documentation and related online services made available at sealium.eu and api.sealium.eu.
- Document — a file you submit to the Service for validation (e.g. PDF, ASiC, XAdES, CAdES, JAdES, KRX).
- Validation Report — the structured result returned by the Service describing a Document’s signatures, certificates, timestamps and trust status.
- API Key — the secret credential (prefixed
slm_live_) used to authenticate API requests. - Plan — the subscription tier (Free, Pro, Business or Enterprise) you select, each with its own quotas and features.
2.The Service
Sealium provides an API-first platform that analyses electronic signatures, certificate chains and timestamps in documents and returns an audit-ready Validation Report. The Service is built on the European Commission’s DSS reference library and validates against the EU List of Trusted Lists (LOTL) and eIDAS framework.
We may add, change or remove features over time to improve the Service. We will not make changes that materially degrade the core validation functionality of a paid Plan during its billing period without notice.
3.Eligibility and account
You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of the registration information you provide and for keeping it up to date. You are responsible for all activity that occurs under your account.
4.API keys and security
- API Keys are secret. You must store them securely and never expose them in client-side code, public repositories or logs.
- You are responsible for all usage and charges incurred under your API Keys, including unauthorised use resulting from your failure to keep them secret.
- You may revoke and regenerate keys at any time in the developer console. Notify us promptly at info@sealium.eu if you suspect a key has been compromised.
5.Acceptable use
You agree not to use the Service to:
- break any applicable law, infringe third-party rights, or submit content you are not authorised to process;
- attempt to gain unauthorised access to the Service, other customers’ data, or our infrastructure;
- circumvent quotas, rate limits, or Plan restrictions, or resell the Service without our written permission;
- disrupt or place an undue load on the Service, including through automated abuse, scraping beyond documented APIs, or denial-of-service activity;
- upload malware, or use the Service to develop a competing product by copying it.
We may suspend access that, in our reasonable judgment, threatens the security, integrity or availability of the Service, with notice where practicable.
6.Plans, fees and billing
Paid Plans are billed in advance on a monthly or annual basis. Usage above your Plan’s included quota is charged as overage at the rates shown on our pricing page, up to any spending cap you configure. Prices are exclusive of VAT unless stated otherwise.
Payments are processed by Paddle, which acts as the Merchant of Record / reseller for transactions. Paddle handles checkout, invoicing and the collection and remittance of applicable taxes (including EU VAT). Your purchase is also subject to Paddle’s buyer terms. Fees are non-refundable except where required by mandatory law.
You may cancel a paid Plan at any time; cancellation takes effect at the end of the current billing period and your tier downgrades to Free. We may change prices on renewal with at least 30 days’ notice.
7.Service levels and support
We aim to keep the Service available and reliable. A contractual uptime commitment (e.g. 99.5% for the Business Plan, or a custom level for Enterprise) applies only where expressly stated for your Plan. The Free and Pro Plans are provided without an uptime commitment. Scheduled maintenance, factors outside our reasonable control, and your own misuse are excluded from availability calculations.
8.Documents and customer data
We do not store your Documents. Documents submitted to the Service are processed in memory (or, for large files, in transient temporary storage that is deleted immediately after processing) and are never retained after a validation completes. We retain only the resulting Validation Report and the metadata associated with your account and usage. Our handling of personal data is described in our Privacy Policy and GDPR page.
As between the parties, you retain all rights in your Documents and Validation Reports. You grant us the limited right to process them solely to provide the Service to you.
9.Intellectual property
The Service, including its software, documentation, design and trademarks, is owned by Sealium or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your Plan. No rights are granted other than as expressly set out here.
10.Disclaimers
The Service performs technical validation of electronic signatures and certificates. A Validation Report is an automated technical assessment and does not constitute legal advice or a binding determination of the legal validity, authenticity or enforceability of a document. Unless we expressly state in writing that we act as a qualified trust service provider for a given service, the Service is not a qualified validation service within the meaning of the eIDAS Regulation, and Validation Reports should not be relied upon as such.
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.
11.Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or related to the Service in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these Terms limits liability that cannot be limited under mandatory Hungarian law, including liability for damage caused intentionally or by gross negligence, or for harm to life, bodily integrity or health.
12.Indemnification
You will defend and hold us harmless from third-party claims arising from your use of the Service in breach of these Terms or applicable law, including claims relating to the Documents you submit.
13.Term and termination
These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access for material breach of these Terms, for non-payment, or where required by law, with notice where practicable. On termination, your right to use the Service ceases; provisions that by their nature should survive (e.g. IP, disclaimers, liability, governing law) survive termination.
14.Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, for material changes, provide reasonable notice (e.g. by e-mail or in the console). Continued use of the Service after changes take effect constitutes acceptance.
15.Governing law and disputes
These Terms are governed by the laws of Hungary, without regard to conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. The courts of Hungary with jurisdiction over the registered seat of Sealium have exclusive jurisdiction over disputes, subject to any mandatory consumer-protection rules that grant a consumer the right to bring proceedings in another forum.
